Terms and Conditions

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of www.lexeon.in website.

lexeon, is an online platform (hereinafter the "Platform"/"Site") for mentoring and knowledge sharing, intended for individual users, i.e., Mentors and/or Mentees (hereinafter "Users", "You"). The Platform is owned by lexeon Connect LLP, a Limited Liability Partnership (LLP) incorporated under the Limited Liability Partnership Act, 2008 with its registered office at 16-Pratap Nagar Scheme No. III, Near Satnam Honda, Tonk Road, Durgapura, Bajaj Nagar Police Station, Jaipur, Jaipur-302018, Rajasthan, India.

By using lexeon, whether as a registered user or otherwise, you agree to comply with and be bound by these Terms of Use ("Terms"). These Terms govern your use of the Services (defined under Term 3 below) provided by lexeon ("we," "us," or "our"), accessible via www.lexeon.in and otherwise. By accessing or using the Site and our Services, you affirm that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Site or our Services.

Your relationship with lexeon is on a principal-to-principal basis and by accepting these Terms of Use you agree that lexeon is an independent contractor for all purposes and does not have control of or liability for the Services that are listed on the Platform that are paid for, by using the payment mechanisms available on the Platform.

Account Creation

To access certain Services, Users must create an account by providing accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Eligibility

Every User who is otherwise eligible to access online platforms is eligible to access the Platform. Use of the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. As a minor if you wish to use the website, such use may be made by your legal guardian or parents on the Website. By using the Site, you represent and warrant that (a) you are not restricted or barred from accessing the Platform under law or otherwise; and you have the requisite permission/capacity to access and use the Platform; (b) you are not a competitor or accessing the Platform for reasons that are in competition with us; and (c) you do not intend to or would violate any of our rights, including intellectual property rights.

Account Responsibilities

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this requirement.

Description of Services

lexeon provides Users a variety of tools that allow the Users to inter alia interact, exchange information and perspectives, access content, share knowledge etc. within the Platform. lexeon, at present, offers a platform for connecting law aspirants, law students and law professionals with experienced mentors, including law students, associates, partners, and in-house counsels. Our services include one-on-one mentorship sessions, group mentorship sessions, short courses and webinars provided by mentors.

Users must adhere to the following guidelines, which are further supplemented below under 'User Responsibilities and Restrictions':

Prohibited Content

Users shall not share illegal content, engage in harassment, violate intellectual property rights, or spam others.

Behavioral Expectations

Users must maintain professionalism in all interactions, respect confidentiality, and follow Platform guidelines.

User agrees not to circumvent lexeon by communicating, engaging or conducting business with other Users on the Platform, outside of the Platform.

User represents and warrants that the quality and accuracy of the content posted on the Platform, is exclusively the User's responsibility.

Payments for Services must be made through the Platform. Subscription fee, Session/Course/Webinar fee or fee for any other service on the Platform is detailed at the point of purchase/booking.

You agree to pay Subscription fee, Session/Course/Webinar fee or fee for any other service on the Platform that are attributable to your account on the Platform and that you are solely responsible for payment of these fees and charges. The Subscriptions are payable in full and in advance and are valid until the completion of the applicable subscription period or until otherwise canceled or terminated in accordance with the terms of this Agreement.

If you have not completed payments for your Subscriptions, we may restrict/suspend your access to the service until the Subscription fee is paid in full.

Your payments to lexeon shall be subject to applicable taxes including without limitation Goods and Service Taxes (GST) and Value Added Taxes (VAT) or other similar taxes, as applicable from time to time. lexeon may withhold taxes, as and when required by the applicable laws.

We reserve the right to change/revise the pricing of the Subscriptions. For existing Subscriptions for which the applicable fees have been already received by us, we will implement the price changes during the next billing period or renewal of the Subscription.

Further, lexeon is solely authorized to offer discounts/offers, if any, on the Subscription fee, Session/Course/Webinar fee or fee for any other service on the platform. These discounts/offers are communicated on the Platform or via email, SMS, phone, or such other means of communication, and can be availed only through the Platform. Other than lexeon, no person, including without limitation, content providers or any third-party platform, are allowed to offer any discounts on the Subscription fee, Session/Course/Webinar fee or fee for any other service offered on the Platform. lexeon shall not be liable for any claims arising from such unauthorized discounts/offers offered by any person (including any third-party platform), other than lexeon.

Payments for Services must be made through the Platform. Subscription fee, Session/Course/Webinar fee or fee for any other service on the Platform is detailed at the point of purchase/ booking. Subscriptions are payable in full and in advance.

If you have not completed payments for your Subscriptions, we may restrict or suspend your access to the service until the Subscription fee is paid in full.

Your payments to Lexeon shall be subject to applicable taxes including without limitation Goods and Service Taxes (GST) and Value Added Taxes (VAT) or other similar taxes, as applicable from time to time.

Lexeon is solely authorized to offer discounts/offers, if any, on the fees. Other than Lexeon, no person, including content providers or third-party platforms, are allowed to offer any discounts. Lexeon shall not be liable for any claims arising from such unauthorized discounts.

User Content

Users retain ownership of the content they create. By posting content on lexeon, you grant us an exclusive, worldwide, royalty free license to use, reproduce, and display the content in connection with our Services.

Platform Content

All content provided by lexeon, including courses, webinars and mentorship materials, is protected by intellectual property laws. You shall not reproduce or distribute this content without permission.

Changes to Services

We reserve the right to modify or discontinue, temporarily or permanently, our Services (or any part thereof) with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services. If your use of a paid service is terminated, you may be eligible for a refund as per our Refund Terms.

Termination

We reserve the right to terminate your account for violating these Terms or engaging in prohibited activities.

Disclaimers

lexeon is an intermediary as defined under sub-clause (w) of Section 2 of the Information Technology Act, 2000. Our Services are provided 'as is' without warranties of any kind. We do not guarantee the accuracy or completeness of any content provided on the Platform. The content on our Site is provided for general information only. It is not intended to amount to advice on which you should rely. We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, quality of work, expertise or other information provided on the Platform. In no event, shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information.

We do not guarantee that our Services, our Site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Site or Services without notice. We will not be liable to you if for any reason our Site is unavailable at any time or for any period.

Our Site is directed to people residing in India. We do not represent that the content available on or through our Site is appropriate or available in other locations. We may limit the availability of our Site, or any service or product described on our Site to any person or geographic area at any time. If you choose to access our Site from outside India, you do so at your own risk.

The Platform is not involved in providing any mentoring itself and hence is not responsible for any interactions between the mentors and mentees. User understands and agrees that we will not be liable for:

• The ability or intent of the mentors or the lack of it, in fulfilling their obligations towards mentees
• Quality issues with mentoring/advice provided by the mentor(s)
• Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the mentee/mentor due to a failure on the part of the mentor/mentee
• Any misconduct or inappropriate behavior by the mentor or the mentee
• Unsuccessful session, cancellation or no show by the mentor/mentee or rescheduling of booked appointment or any variation in the fees charged

Limitation of Liability

lexeon is not liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our cumulative liability shall not exceed the amount paid by the User for the Services.

We make no representation, warranty, or guarantee that the Services we provide via our Site will meet your requirements or expectations or that they will be fit for a particular purpose or that success or any other specific results may be achieved, or that they will be error-free, timely, reliable, secure or virus-free. The Services are provided solely to facilitate the management and administration of communications between mentors and mentees. We are not a party to any transactions or other relationships between any of our Users, or to any disputes between them. Any claims must be made directly against the party concerned. You use the Site solely at your own risk.

We are not responsible for the content or accuracy of, or for any opinions, views, or values expressed in any posts, comments or other content posted by Users of our Site. Any such opinions, views, or values are those of the relevant User and do not reflect our opinions, views, or values in any way.

We will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, our Site; use of or reliance on our Services or any content displayed on our Site; loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

You agree to indemnify and hold lexeon harmless against any third-party claims, including but not limited to intellectual property and data protection claims, damages, liabilities, and expenses arising out of your use of our Services or violation of these Terms.

These terms are governed by the laws of India. Any disputes arising from these Terms or the use of our Services shall be resolved exclusively by the Courts in New Delhi, India.

We are committed to protecting your privacy. Our Privacy Policy details how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy, and our Privacy Policy is incorporated here.

The User hereby agrees to lexeon and/or any person authorized by it carrying out an audit of User's activities on the Platform, including of any sessions, courses, webinars attended, for the purpose of improving treatment quality, user experience, and other related processes. The User acknowledges that the subject matter of audit may include texts, messages, photographs, reports, audio or video recordings or any other material exchanged between the Users which could inter alia include User's personal information, including Personally Identifiable Information. This Personally Identifiable Information will be processed in accordance with the Privacy Policy.

Accurate Information

Users must provide accurate information and will not use the Services for any illegal activities. Users shall refrain from raising any personal queries or seeking advice from mentors which are not related to the subject matter of the discussion/session. Users shall abide by the terms & conditions of the Service as described (which are in addition to these Terms), and shall not violate them. We have the right to disable any User access, at any time, if in our reasonable opinion, the User has failed to comply with any of the provisions of these Terms.

Prohibited Behavior

You may use our Site only for lawful purposes. You shall not use our Site:

• In any way that breaches any applicable local, national or international law or regulation
• In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect
• For harming or attempting to harm minors in any way
• To send, knowingly receive, upload, download, use or reuse any material which does not comply with our content standards
• To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam)
• To knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any device's software or hardware
• To reproduce, duplicate, copy or resell any part of our Site in contravention of these Terms
• To adapt, modify or create derivative works based on the Service or technology underlying the Services or User's content, in whole or part
• To access without authority, interfere with, damage or disrupt any part of our Site; any equipment or network on which our Site is stored; any software used in the provision of our Site; or any equipment or network or software owned or used by any third party

Content Standards

All material which you upload, share or contribute to our Site must comply with applicable content standards. Content must be accurate (where it states facts), genuine (where it states opinions), and comply with applicable laws in India and in any country from which it is posted.

Content must not: belong to another person without rights; impersonate another person; threaten the unity, integrity, defense, security or sovereignty of India; contain defamatory, obscene, offensive, hateful, or privacy-invasive material; contain harmful, harassing, blasphemous, pornographic, pedophilic or libelous material; contain hateful, racially or ethnically objectionable material; deceive or mislead the addressee; promote sexually explicit material; be harmful to children; promote violence or discrimination; infringe any copyright, patent, database right or trademark; promote any illegal activity; be threatening, abusive or invade another's privacy; or violate any law for the time being in force.

We will determine, in our discretion, whether there has been a breach of these Terms. When a breach has occurred, we may take such action as we deem appropriate, including any of the following:

• Immediate, temporary or permanent withdrawal of User's right to use our Site and the Services (including suspension or termination of the User's account and any future accounts such User might create)
• Immediate, temporary or permanent removal of any posting or material uploaded by the User to our Site
• Forfeiture of the consideration paid for any Service(s) availed or to be availed by the User
• Issuance of a warning to the User
• Further legal action against the User
• Disclosure of such information to law enforcement authorities as we reasonably feel to be necessary

Cancellation/Rescheduling by Mentor

It is specifically clarified that in the event User is reported to be abusive towards another User or we find the User to be in violation of these Terms, while using the Platform and/or while availing the Services, in addition to the above actions, we reserve the right to terminate the Service and to not provide such Services in future, without any responsibility of honoring any refund request towards the consideration paid by such User for any Service, whether availed, pending or ongoing.

User agrees to fully reimburse us for all losses (including loss of profit, revenue, goodwill or reputation), costs and expenses arising out of any breach of these Terms by the User, or any other act or omission by the User in using the Site or by any other person accessing the Site using User's personal information with authority that results in any legal responsibility on our part to any third party.

If the User account is terminated or deactivated (by the User or by us), User's photos, comments and all other data uploaded and pertaining to the User's account will no longer be accessible through User account, but those materials and data may still appear within the Site.

We encourage the Users to maintain backup of their content. We are not a backup service. Whilst we will take all reasonable steps to keep the content secure, we do not guarantee that others will not gain access to your information.

Activation

Subscriptions are activated upon payment realization and will provide access to mentorship services as described.

Informational Purposes

Information provided on the Platform is for informational purposes only and should not be considered professional advice.

Third-Party Links

Our Platform may contain links to third-party websites, which are not under our control. We are not responsible for the content or privacy practices of these third-party websites.

Users are responsible for maintaining the confidentiality of their interactions on the Platform. Users should only share such personal and confidential information with the mentors and the Platform, that is necessary for seeking mentorship on the Platform.

We may update these Terms from time to time. Any changes will be posted on our Site, and continued use of our Services implies acceptance of the updated Terms.

We may update our Site from time to time, and may change, add, modify or discontinue, temporarily or permanently the content and Services at any time. We shall not be liable for any such addition, modification, suspension, or discontinuation of the Services. Any of the content on our Site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that our Site, or any content on it, will be free from errors or omissions.

Cancellation/Rescheduling by Mentor

• A Mentor may cancel a scheduled session, individual course, or individual webinar up to six (6) hours prior to the scheduled start time. In such cases, the Mentee(s) shall be entitled to a full refund of any fee paid.
• If the Mentor wishes to cancel within the six (6) hours window prior to the scheduled start time, no option for cancellation will be available.
• The Mentor will only be permitted to reschedule a session. A Course and Webinar cannot be rescheduled.
• In the event of a rescheduled session by the Mentor, the Mentee shall have the option to either accept the revised date and time or decline it. If the Mentee declines the revised date and time or chooses not to accept the revised date and time, the mentee shall be entitled to a refund if the session does not take place at the initially agreed date and time.

Cancellation/Rescheduling by lexeon

• If lexeon cancels a session, course, or webinar, the Mentee(s) shall be entitled to a refund of any fees paid.
• If lexeon reschedules a session, Mentee shall have the option to either accept the revised date and time or decline it. If the Mentee declines the revised date and time or chooses not to accept the revised date and time, the mentee shall be entitled to a refund if the session does not take place at the initially agreed date and time.

Cancellation by Mentee(s)

• A Mentee(s) may cancel a session up to six (6) hours prior to the scheduled start time and shall be entitled to a full refund of any fees paid.
• If the Mentee wishes to cancel a session within the six (6) hours window prior to the scheduled start time, no option for cancellation will be available.
• A Mentee cannot cancel or reschedule a course or webinar. A mentee cannot reschedule a session. Once a session is booked, the Mentee is only entitled to cancel it within the permitted time frame, as outlined above.
• In the event it is proved that a mentor has acted in contravention of any applicable laws/Terms, we shall provide a refund to the mentee, subject to verification.
• If the Service is unsuccessful due to the abusive nature of the Mentee, such Mentee shall not be eligible for any refund.

In the event a User raises any concerns regarding the inappropriateness of a particular session, the User agrees that the refund or any other outcome for any such concerns raised by the User will be subject to a detailed review of the said concerns by us.

In case the mentor does not respond to a session within fifteen (15) minutes from the time of starting a session or does not respond for more than fifteen (15) minutes during an active session, the mentee shall have the right to request for cancellation/refund.

In case the mentee does not respond to a session within fifteen (15) minutes from the time of starting a session or does not respond for more than fifteen (15) minutes during an active session, the mentor may end the session and the mentee shall not be entitled to any refund.

Users are allowed a period of three (3) days, from the date of a scheduled session, to raise any concern, and request for a refund. No refund requests shall be considered thereafter.

We shall check the details and process the refund wherever applicable, solely at our discretion. In all matters related to refund and settlement under these Terms, we shall decide so, at our sole and absolute discretion after detailed review of the matter and taking into account all the involved parties' information. Our decision shall be final in this regard.

Mentorship Obligations

Mentors agree to provide mentorship services to the best of their abilities, ensuring professionalism and confidentiality in all interactions.

Feedback and Reviews

Users may provide feedback and reviews, which lexeon may use to improve Services offered. However, abusive or defamatory feedback is prohibited. In cases where a User posts an abusive or defamatory feedback, lexeon reserves the right to edit/delete such feedback from the Platform.

Data Use and Sharing

Personal data shared during mentorship sessions is used solely for the purpose of providing mentorship services. lexeon may analyze anonymized data to improve platform functionality, promote lexeon or any other purpose that lexeon might think fit.

Profile Information

Users must ensure that their profile information is accurate and up-to-date. lexeon reserves the right to remove or suspend profiles that contain false or misleading information.

Waiver

Our delay of enforcing any of our rights, would not amount to a waiver of such rights by us.

Severability

If any provision of these Terms is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of remaining provisions.

Assignment

A User shall not assign its accounts and its rights and/or obligations as per these Terms of Use.
